1. Scope
These terms form an agreement between you and the company identified above ("the Company", "we"). They cover the verilic.gr website, the customer Portal, and every product or service ordered through them.
Using the website, creating an account or placing an order means you accept these terms in full. If you do not agree with them, please do not use the services.
2. Business customers only
The website and the Portal are intended exclusively for businesses, self-employed professionals and legal entities acting in the course of their trade or profession. We do not sell to consumers.
Registration and ordering therefore require a valid and active business VAT number. We may verify the details you provide and may refuse a registration or an order where this condition is not met.
Because the contract is not a consumer contract, consumer protection provisions do not apply, including the fourteen-day right of withdrawal.
3. Account and registration details
A Portal account is required in order to purchase. During registration you provide your company name, VAT number, tax office, registered address, email and contact details.
These details must be accurate and kept up to date; invoices are issued on their basis. Please update your account whenever they change.
You are responsible for keeping your credentials safe and for all activity carried out through your account. Notify us immediately if you suspect unauthorised access.
4. Orders and formation of the contract
An order is placed through the Portal and constitutes an offer to enter into a contract. The contract is formed once payment is confirmed and the contract is approved by our system.
We may decline an order, in particular where details are incorrect, where the VAT number cannot be verified, where fraud is suspected, or in the case of an obvious pricing error.
5. Prices and VAT
All prices are quoted in euro and exclude VAT unless expressly stated otherwise. Applicable VAT is added during ordering and shown before payment.
Prices may change. The price displayed at the time an order is submitted applies to that order.
6. Payment
Card payments are processed by the payment service provider Viva Payments, within the provider's secure environment.
We do not collect, see or store card numbers or other payment credentials. We receive only the confirmation of the transaction and its reference code.
The invoice is issued using the details held in your account.
7. Delivery
Products are delivered electronically only. Once payment is confirmed, the licence is activated and the corresponding certificate becomes available in the Portal.
Delivery is complete when the licence and certificate are made available in your account.
8. Software licence
Your purchase grants a right to use the software, not ownership of it. The licence is non-exclusive, non-transferable and granted for the term and scope set out in your contract.
The licence is bound to a specific installation and number of activations, as defined in the contract.
You may not copy, distribute, rent, sublicense, decompile or reverse engineer the software, nor circumvent its licensing mechanisms.
9. Support plans
Support plans are provided for a fixed term and define the scope of support: the number of requests covered and whether remote access is included.
The exact limits of each plan are stated in your contract and visible in the Portal.
Support covers the operation of our products. Configuration work, development and support of third-party systems are charged separately by agreement.
10. Cancellations and refunds
As these are digital products delivered immediately and the contract is between businesses, payments are not refundable once the licence has been activated.
If a technical fault makes a product unusable and we cannot resolve it within a reasonable time, please contact us; we will review your case and seek a fair resolution, which may include a refund.
Duplicate or erroneous charges are refunded in full.
11. Your obligations
You undertake to use the services in accordance with the law and these terms.
- Do not attempt unauthorised access to systems or data.
- Do not disrupt the service or place a disproportionate load on it.
- Do not use the software for any unlawful purpose.
- Do not grant account access to unauthorised persons.
12. Service availability
We make every reasonable effort to keep the service running, but we do not guarantee uninterrupted availability.
We may temporarily suspend the service for maintenance, upgrades or security reasons. Where practicable, we give advance notice.
13. Limitation of liability
We are liable for damage caused by wilful misconduct or gross negligence, and in any other case where the law does not permit liability to be limited.
Otherwise, and to the extent permitted by law, we are not liable for lost profits, loss of data, business interruption or other indirect or consequential damage.
In any event, our total liability is limited to the amount you paid for the product or service concerned during the twelve months preceding the event giving rise to the claim.
Maintaining backups of your data remains your responsibility.
14. Intellectual property
The software, source code, trade marks, texts, graphics and all other website content belong to the Company or its licensors and are protected by intellectual property law.
Nothing in these terms transfers intellectual property rights beyond the right of use expressly granted.
15. Personal data
The processing of personal data is described in detail in the Privacy Policy, which forms an integral part of these terms.
16. Term and termination
Contracts run for the term specified in each of them. On expiry the right of use ends unless the contract is renewed.
We may suspend or terminate the contract in the event of a material breach, after notifying you and allowing a reasonable period to remedy it where the breach is capable of remedy.
17. Changes to these terms
We may amend these terms. The version in force is published on this page together with its update date.
For contracts already concluded, the terms in force at the time of the order apply, unless a change is required by law.
18. Governing law and jurisdiction
These terms are governed by Greek law.
Any dispute will first be addressed through good-faith negotiation. Failing that, the courts identified below have jurisdiction or, in the absence of a specific designation, the competent courts of the Company's registered seat.
19. Contact
